These terms govern your use of Ringtel Cloud services. Please read them carefully.

Effective Date: December 1, 2024

These Terms of Service constitute a legally binding agreement between you and Microxen Inc. regarding your use of Ringtel Cloud services.

1. Acceptance of Terms

By accessing or using Ringtel Cloud services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Service

Ringtel Cloud provides cloud-based telecommunications services including but not limited to:

  • Voice over Internet Protocol (VoIP) phone services
  • Session Initiation Protocol (SIP) trunking
  • Call center and contact center solutions
  • Unified communications platforms
  • Call recording and analytics
  • Administrative and management tools

3. User Accounts and Registration

Account Creation

To use our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Responsibilities

  • Maintain accurate and up-to-date account information
  • Protect your login credentials and notify us of unauthorized access
  • Comply with all applicable laws and regulations
  • Use the service only for lawful business purposes
  • Not share your account with unauthorized users

4. Acceptable Use Policy

You agree not to use Ringtel Cloud services for any unlawful or prohibited activities, including:

  • Harassment, abuse, or threatening communications
  • Spam, unsolicited marketing, or robocalling
  • Illegal activities or violation of applicable laws
  • Compromising the security or integrity of our systems
  • Attempting to gain unauthorized access to our services
  • Interfering with other users' use of the service

5. Service Availability and Support

Service Level Agreement

We strive to maintain 99.9% uptime for our core voice services. Detailed service level commitments are outlined in your service agreement. We provide 24/7 technical support for all paid plans.

Maintenance and Updates

We may perform scheduled maintenance that could temporarily affect service availability. We will provide advance notice of planned maintenance whenever possible.

6. Billing and Payment

Payment Terms

  • Fees are due in advance on a monthly or annual basis
  • Usage-based charges are billed monthly in arrears
  • All fees are non-refundable unless specified otherwise
  • Failure to pay may result in service suspension or termination

Price Changes

We reserve the right to modify our pricing with 30 days' advance notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

8. Intellectual Property

Ringtel Cloud and all related trademarks, service marks, and intellectual property are owned by Microxen Inc. You are granted a limited, non-exclusive license to use our services in accordance with these terms.

9. Limitation of Liability

To the maximum extent permitted by law, Microxen Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. We may terminate immediately for breach of these terms or non-payment. Upon termination, your access to the service will cease, and you remain liable for all charges incurred.

11. Governing Law and Disputes

These terms are governed by the laws of [Jurisdiction]. Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
